BAGR, Inc. ("BAGR," "we," "us," or "our") respects your privacy. This Privacy Policy explains how we collect, use, disclose, and protect information when you access or use the BAGR platform, including our mobile applications, websites, and related services (collectively, the / our "Services").

This Privacy Policy is incorporated into, and should be read together with, our Terms of Service and any applicable licenses or agreements made available through the Platform.

1. Scope of This Privacy Policy

This Privacy Policy applies to information collected from:

(1) Creators (also referred to as "Producers," "Licensors," or "Sellers")

(2) Buyers (also referred to as "Artists" or "Licensees")

(3) Viewers (also referred to as "Watchers") , and other users of the Services;

(4) Individuals who create, upload, license, purchase, bid on, or interact with Beats or related content, including during live sessions; and

(5) Visitors to our applications or websites.

This Policy does not apply to third-party services or platforms that you may access through BAGR (such as payment processors, app stores, or distribution services), which are governed by their own privacy policies.

2. Information We Collect

a. Information You Provide Directly. We may collect information that you voluntarily provide when you create an account, use our Services, or communicate with us, including:

(1) Account and licensing information, such as your full legal name (and optional business-entity name) used to generate executed license documents, age confirmation, email address, telephone number, and login credentials;

(2) Profile information, such as artist or producer name, biography, city/state/country, and avatar;

(3) Content you upload, including audio files, associated metadata, descriptions, and related materials;

(4) Communications, including in-app messages, support requests, feedback, and email correspondence;

(5) Payment and payout information, which is collected and processed by authorized third-party payment providers;

(6) Information submitted in connection with disputes, takedowns, legal notices, or compliance requests.

b. Information Collected Automatically. When you use the Services, we may automatically collect certain information using a variety of technologies, including cookies and similar tools, such as:

(1) Device information, including device type, operating system, and application version;

(2) Log and usage data, including IP address, timestamps, pages or screens viewed, referring URLs, and actions taken within the Services;

(3) Approximate location information, such as city, state, or country inferred from your IP address;

(4) Usage and analytics data, including time spent on the Platform, feature usage, interaction data, and performance metrics;

(5) Cookies, pixels, and similar technologies, as further described in Section 4.

d. Live Sessions and Session Recordings. Live sessions on the Services are streamed and recorded. When you host, appear in, or participate in a live session (including through chat or bidding), we collect the audio, video, images, likeness, chat messages, bids, and related activity captured during the session.

Recordings of live sessions ("Session Recordings") are retained and may remain available through the Services after a session ends and after a Beat is sold, including as an archive of the auction and as the reference recording for the delivery-and-review process described in our Terms of Service.

Session Recordings and excerpts may also be used to operate, provide, and promote the Services as described in Section 11 of the Terms of Service; you may request removal of marketing uses as described in Section 12 below.

Live sessions are public. Any information you share or reveal during a live session — including your appearance, voice, username, chat messages, and bidding activity — is visible to other users and may be viewed, captured, or shared by others. Please exercise caution before revealing information that could identify you in the real world during a live session.

c. Information from Third Parties. We may receive limited information from third parties in connection with operating, securing, analyzing, and improving our Services, including:

(1) Payment processors (such as Stripe, Apple, Google, or PayPal), regarding transaction status, chargebacks, refunds, or payout confirmations;

(2) Analytics, security, and fraud-prevention providers, to help detect abuse, prevent fraud, and maintain platform integrity;

(3) App stores, operating systems, and device platforms, in connection with downloads, subscriptions, or in-app purchases;

(4) Rights-management, licensing, royalty accounting, or compliance services, where applicable and permitted by law;

(5) Business partners, advertisers, marketers, researchers, and analysts, solely in connection with aggregated, anonymized, or de-identified data relating to platform usage, trends, performance, or industry insights.

We do not share personally identifiable information (such as names, email addresses, phone numbers, precise locations, or account credentials) with advertisers, marketers, or research partners except:

(1) with your consent, or

(2) as required by law.

If you access the Services through, connect your account to, or interact with BAGR via a third-party website, application, or social media platform, we may receive information from that third-party website, application, or social media platform about you (e.g., name, username, email, address, posted content) in accordance with its privacy practices and your settings.

BAGR does not control and is not responsible for the content, privacy practices, or data-handling policies of third-party websites, applications, or platforms.

3. App Permissions

Depending on your device and settings, the Services may request permission to access:

(1) Storage or media libraries (to upload audio content);

(2) Camera or microphone (if you choose to use in-app features);

(3) Notifications (for transactional or optional marketing messages).

(4) Location (if you enable precise location services)

You may manage permissions through your device settings.

BAGR does not require precise location data to operate. We may collect approximate location information (such as country, state, or city inferred from IP address) for purposes of fraud prevention, compliance with legal obligations, analytics, and localization.

Any collection of precise location data, if offered, will be optional and subject to your device permissions.

4. Cookies and Online Analytics

We collect information through cookies and other similar technologies, including when you visit our websites and use our applications. We may set and access cookies on your computer to track and store information about your device and use of the Services.

We use cookies and similar technologies for a variety of functions such as enabling features that are necessary for providing our Services, such as keeping you signed in, securing our Services, tracking content views, and remembering your preferences; online analytics and advertising; and to facilitate the sharing of content or information from our Services through social networking sites.

You can modify your browser settings to enable, disable, or delete cookies. However, in a few cases, some of our Services may not function as designed without certain cookies enabled.

We use third-party analytics services on our Services (e.g., Google Analytics). These service providers may set and access their own cookies, pixel tags, and similar technologies on our Services and on third-party services to collect information that can be used to track users over time and across services. These analytics services help us understand how users arrive at and use our Services. If you do not want Google Analytics to collect and use information about your use of our websites or applications, you can install an opt-out in your web browser.

We do not respond to browser "Do Not Track" signals. However, where required by law, we honor recognized opt-out preference signals, including the Global Privacy Control ("GPC"), as a request to opt out of the "sharing" of personal information for cross-context behavioral advertising, applied to the browser or device sending the signal. You can learn more about GPC at globalprivacycontrol.org.

5. How We Use and Share Information

We may use and share the information we collect:

(1) to provide security to, operate, and maintain our Services;

(2) to create and manage user accounts;

(3) to process payments, transactions, and payouts through authorized third-party payment processors and app store providers (including Stripe, Apple, and Google), and to administer related billing, refunds, chargebacks, and compliance obligations;

(4) to generate executed license documents, receipts, and related transaction documentation, and to deliver them to the parties to a transaction (executed licenses include the legal names and contact details of both parties and are shared with your transaction counterparty);

(5) to record timestamps, license versions, Split Mode selections, delivery and review status, and Delivery Confirmation;

(6) to facilitate live sessions, Live Auctions, and marketplace transactions, and to administer the delivery-and-review process (including Delivery Problem Reports, Report Disputes, delivery deadlines, deemed acceptance, refunds, and payout release);

(7) to communicate with users (transactional notices, support);

(8) to detect fraud, abuse, or unauthorized activity, and to analyze user-entered artist references and tags in aggregate to improve the Services' available tags and discovery features;

(9) to enforce our Terms of Service and applicable licenses and agreements;

(10) to comply with legal obligations, such as tracking user subscriptions and purchases for tax and auditing purposes;

(11) for marketing and advertising purposes, including through the use of aggregated, anonymized, or de-identified information where required by law;

(12) to improve our Services, including bug detection, error reporting, understanding how our users interact with our Services and advertisements, improving the usability and effectiveness of our Services, performing research and analytics, and to test and create new products, features, and other services.

(13) to defend our legal rights; and

(14) to process your information for a particular purpose that you have consented to.

We may also display marketplace activity information — such as auction wins, sales results, and favorites — on public profiles and public areas of the Services, and may provide tools for users to share such information off-platform;

We may aggregate, anonymize, or de-identify information collected through our Services so that it can no longer reasonably be used to identify an individual.

We may use and share such aggregated or de-identified information for lawful business purposes, including analytics, research, reporting, industry insights, product development, and commercial partnerships.

We do not attempt to re-identify de-identified data, and we require partners who receive such data to agree not to attempt re-identification.

Where required by law, we honor applicable opt-out rights with respect to the use or sharing of personal information.

Categories of recipients. We disclose personal information to: service providers and vendors that perform services on our behalf (such as hosting, storage, analytics, communications, customer support, content-recognition, and security providers); payment processors and payout providers; identity- and age-verification providers, where verification is used; your transaction counterparty, as described above (including executed license documents, receipts, and delivery records); professional advisors (such as lawyers, accountants, and insurers); and courts, regulators, law enforcement, and other parties where we believe disclosure is required by law or appropriate to protect the rights, property, or safety of BAGR, our users, or others.

Business transfers. If BAGR is involved in a merger, acquisition, financing, reorganization, bankruptcy, receivership, or sale of some or all of its assets, personal information may be disclosed as part of the diligence for, and transferred as an asset in, that transaction, subject to this Privacy Policy or a successor privacy notice, and we will provide notice of any material change in ownership or control as required by law.

6. Content Metadata and Documentation Records

In connection with platform operation, BAGR collects and stores metadata associated with user-submitted content, including:

a. Upload timestamps;

b. License selections;

c. License versions and Split Mode selections;

d. Delivery, review, and confirmation records (including Delivery Problem Reports and Report Disputes);

e. Transaction and purchase records.

f. Consent records, including express consent to delivery of digital content and acknowledgments concerning statutory withdrawal rights, where applicable.

Such information is maintained solely for documentation, platform operation, compliance, and record-keeping purposes. Such records may be retained even if content is removed or accounts are closed, as necessary for legal compliance, dispute resolution, fraud prevention, or record-keeping obligations.

BAGR does not verify the accuracy of such information and does not determine ownership, authorship, credit entitlement, or compensation rights.

7. Audio Fingerprinting and Anti-Piracy Measures

BAGR may use audio fingerprinting, watermarking, and similar technologies solely for:

(1) Platform integrity;

(2) Fraud prevention;

(3) Duplicate detection;

(4) Delivery conformity verification (comparing delivered files against the applicable Session Recording);

(5) Copyright management;

(6) Enforcement of repeat-infringer policies.

These technologies analyze audio content and generate non-human-readable identifiers used for comparison purposes only.

They are not used to identify individuals, determine ownership, adjudicate rights, or monitor activity outside the Platform.

BAGR does not guarantee that such tools will detect all unauthorized uses or infringement.

8. Data Retention

We retain information for different periods of time depending on the purposes for which we collect and use it, as described in this Privacy Policy. We delete or de-identify information when it is no longer needed to fulfill these purposes, unless a longer retention period is necessary to comply with applicable laws. There may be technical or other operational reasons where we are unable to fully delete or de-identify your information. Where this is the case, we will take reasonable measures to prevent further processing of your information. Session Recordings, executed license documents, and transaction, delivery, and payment records may be retained after content removal or account deletion to the extent necessary for completed transactions, legal compliance, dispute resolution, fraud prevention, and record-keeping.

9. Artificial Intelligence and Scraping

BAGR does NOT use user-submitted audio content, including Beats, stems, and Session Recordings, to train generative artificial intelligence models.

BAGR may, however, use automated systems and AI-assisted tools to support, operate, and enhance our Services, including for purposes such as:

a. Content moderation and enforcement of platform rules;

b. Fraud detection, security monitoring, and abuse prevention;

c. Metadata processing, search, recommendations, and discovery;

d. Customer support, including AI-assisted chat or help features;

e. Sales, marketing, or shopping assistance features (such as automated product descriptions, avatars, or virtual assistants);

f. Platform analytics, performance optimization, and integrity.

Any such use is designed to operate on content only to the extent necessary to provide our Services.

Unauthorized scraping, harvesting, downloading, extraction, or other automated or systematic access to content or data from the Platform, including for the purpose of training generative artificial intelligence models, data mining, dataset creation, or competitive analysis, is strictly prohibited without BAGR's prior written consent. This restriction does not apply to the publicly accessible pages of our marketing website at bagr.app, which search engines and artificial intelligence systems may crawl, index, summarize, cite, and use for model training in accordance with the directives published at https://www.bagr.app/robots.txt. This exception does not extend to the BAGR mobile application or to any User Content, including Beats, stems, Session Recordings, chat messages, or profile information.

Violation of this provision may result in suspension or termination of access to the Services and may subject the violator to legal action.

10. International Data Transfers

BAGR is based in the United States. If you access the Services from outside the U.S., your information may be transferred to and processed in the United States or other jurisdictions where we or our service providers operate.

Where required, we use appropriate safeguards (such as standard contractual clauses) to protect international data transfers.

11. Additional Information for Certain Jurisdictions

a. Information for California Residents. If you are a California resident, California law requires us to provide you with the following additional information about the purpose for which we use each category of "personal information" (as defined in the California Consumer Privacy Act ("CCPA")) we collect. For more information about each category and purpose of use, please see "The information we collect" and "How we use your information" sections above.

In the preceding 12 months, we have collected the following categories of personal information: identifiers (such as name, email address, telephone number, IP address, and account credentials); commercial information (such as purchases, bids, transactions, payouts, and license records); audio, electronic, and visual information (such as content you upload, Session Recordings, and chat); internet or other network activity (such as usage, log, and analytics data); approximate geolocation (such as city or region inferred from IP address); and inferences drawn from the foregoing. We collect these categories from the sources, and use and disclose them for the purposes, described in Sections 2 and 5 above.

We do not sell personal information, and we do not use or disclose sensitive personal information for purposes requiring a right to limit under the CCPA.

Where our sharing of information for analytics or advertising constitutes "sharing" under the CCPA, you may opt out as described in Section 12.

California residents may exercise the rights described in Section 12, including through an authorized agent, and will not be discriminated against for doing so.

b. Information for Residents of Other U.S. States. Residents of certain other states (including Virginia, Colorado, Connecticut, Utah, Texas, Oregon, and others with comprehensive privacy laws) may have the right to: confirm whether we process your personal information and access it; correct inaccuracies; delete personal information; obtain a portable copy; and opt out of targeted advertising, the sale of personal information, and certain profiling.

We do not sell personal information.

To exercise these rights, contact privacy@bagr.app. If we decline to act on your request, you may appeal our decision by replying to our response or emailing privacy@bagr.app with "Appeal" in the subject line; if your appeal is denied, you may contact your state attorney general. We will not discriminate against you for exercising your privacy rights.

c. Information for Users in the EEA, United Kingdom, and Switzerland.

Where the EU or UK General Data Protection Regulation or similar laws apply, BAGR processes personal information on the following legal bases: performance of a contract (to provide the Services, process transactions, generate license documents, and administer delivery and payouts); legitimate interests (to secure and improve the Services, prevent fraud and abuse, enforce our terms, and conduct limited marketing of our own Services); consent (where required, such as for optional marketing communications or optional features, which you may withdraw at any time); and compliance with legal obligations.

If you are located in the EEA, the United Kingdom, or Switzerland, you may have the right to request access to, rectification of, or erasure of your personal information; restriction of or objection to processing; and data portability, by contacting privacy@bagr.app. You also have the right to lodge a complaint with your local supervisory authority. Personal information is transferred to the United States as described in Section 10, using appropriate safeguards such as standard contractual clauses where required.

d. Information for Users in Canada. If you are located in Canada, the Personal Information Protection and Electronic Documents Act ("PIPEDA") and, where applicable, provincial privacy laws apply to our handling of your personal information. You may request access to the personal information we hold about you, request correction of inaccuracies, and withdraw consent to processing that is not necessary to provide the Services or to meet a legal or contractual obligation. Requests may be submitted to privacy@bagr.app.

We send marketing communications to users in Canada only with your express consent or where we have implied consent permitted by Canada's Anti-Spam Legislation ("CASL"). Every marketing message identifies BAGR, includes a valid mailing address, and contains an unsubscribe mechanism that remains functional for at least 60 days; we process unsubscribe requests without delay and no later than 10 business days after receipt. If you are not satisfied with our response, you may file a complaint with the Office of the Privacy Commissioner of Canada at priv.gc.ca. Residents of Quebec may have additional rights, including data portability and the right to submit a complaint to the Commission d'accès à l'information du Québec.

12. Your Privacy Rights and Choices

We provide you with the ability to exercise certain controls and choices regarding our collection, use, and sharing of your information. Your legal rights to exercise such controls and choices vary based on the laws of your jurisdiction.

Depending on your location, you may have rights to:

  • Access your personal information;
  • Correct or update information;
  • Request deletion of your account or data;
  • Object to or restrict certain processing;
  • Opt-out of marketing communications.

Requests may be submitted to privacy@bagr.app.

Marketing-use removal. As described in Section 11 of the Terms of Service, you may request that we discontinue marketing uses of your content by contacting privacy@bagr.app.

Upon a verified request, we will not create new marketing materials featuring your identifiable name, image, or likeness and will use commercially reasonable efforts to discontinue existing marketing uses.

Session Recordings themselves, executed licenses, and transaction records are not marketing materials and may be retained and remain available as described in this Privacy Policy and the Terms of Service.

We will consider and respond to all verified requests within the time period required by applicable law.

Certain information may be exempt from such requests under applicable law — for example, information we need to complete transactions, process refunds and Automatic Refunds, resolve disputes and chargebacks, reverse or investigate unauthorized charges, prevent fraud and ensure the security and integrity of the Services, maintain required transaction, licensing, and payment records (including executed license documents and Session Recordings that other users are entitled to rely on), or comply with legal obligations — and fulfilling certain requests (such as deletion or restriction of processing) may limit or prevent your ability to access or use some or all of our Services.

To protect your privacy and security, we may require you to verify your identity before responding to your request.

13. Children and Teens

Our Services are not intended for children under 13 and we do not knowingly allow users under 13 to create accounts.

We do not knowingly collect personal information from children under 13.

Users aged 13 to 17 may use the Services only through an account created, owned, and controlled by a parent or legal guardian, as described in Section 2 of our Terms of Service. All account information — including name, contact, payment, and payout information — must be that of the parent or legal guardian, and account communications, receipts, and executed license documents are directed to the guardian's verified email address. We do not ask users to disclose, and we do not knowingly collect, the identity or personal information of minors using guardian-managed accounts, and we limit data collection and communications consistent with applicable law, including COPPA and similar regulations.

14. Security

We are committed to protecting your information. We use administrative, technical, and physical safeguards designed to protect information.

However, no system is completely secure, and we cannot guarantee absolute security.

15. Biometric Information; Fraud and Bot Prevention

BAGR does not itself collect, store, or process biometric identifiers or biometric information (such as fingerprints, voiceprints, retinal scans, or facial-recognition templates) to identify or authenticate users.

Where identity, age, or liveness verification is offered or required (as described in Section 3 of the Terms of Service), verification is performed by third-party verification providers, which may process government-ID images, selfie images, or liveness data — which may constitute biometric information under the laws of some jurisdictions — under their own privacy notices and with any legally required notice and consent obtained at or before the time of verification.

BAGR receives verification results (such as pass/fail status or an estimated age range), not underlying biometric identifiers or templates.

BAGR may also use automated fraud-prevention and bot-detection technologies to help protect the Services, prevent abuse, and ensure that accounts are operated by real humans; such technologies are employed solely for security, fraud prevention, and platform-integrity purposes.

Any data processed in connection with such tools is handled in accordance with this Privacy Policy and applicable law.

16. Third-Party Services

Our Services may link to or integrate with third-party services. We are not responsible for the privacy practices of those third parties, and your use of such services is governed by their policies.

17. Relationship to the Terms of Service and Beat License

This Privacy Policy operates in conjunction with BAGR's Terms of Service and the BAGR Exclusive License (the "Beat License") made available through the Services. With respect to use of the Services, the Terms of Service control; with respect to the license rights and obligations between a Licensor and a Licensee in a completed transaction, the applicable Beat License controls.

Nothing in this Privacy Policy alters or expands any rights or obligations arising under such agreements.

BAGR's role with respect to transaction documentation is limited to recording and presenting information supplied by users and generated by the Services' transaction, delivery, and review processes at the time of each transaction. BAGR is not a party to any Beat License and does not act as an arbiter, administrator, or enforcer of the rights and obligations between users — including royalty participation, revenue splits, credit, or other downstream obligations — and does not calculate, collect, distribute, audit, or guarantee any payment between users. Documentation generated by the Services is a record of the parties' transaction, not a determination, adjudication, or guarantee by BAGR of any right, obligation, or payment.

18. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. If we make material changes, we will provide notice through the Platform or by other appropriate means. Continued use of our Services after the effective date constitutes acceptance of the updated Policy.
